1. Agreement to these terms

These Terms and Conditions (the "Terms") govern your use of this website and the services offered by Fils, a trade identity of Al-Maghanem Trading Establishment (مؤسسة المغانم التجارية) ("we", "us"). By using this website or our services, you accept these Terms. If you do not agree, please do not use the website or the services.

2. Our services

We provide accounting and financial services in the Sultanate of Oman, including:

  • Establishing integrated accounting systems for startup companies.
  • Developing and modifying accounting systems for existing companies.
  • Bookkeeping and monthly accounting reporting.
  • Preparation of tax returns and tax compliance support.
  • Internal audit services.
  • Financial consultations and training workshops.

The exact scope, fees and deliverables of any engagement are defined in the written proposal, quotation, agreement or invoice we issue for each engagement, which together with these Terms form the contract (the "Agreement").

3. Booking meetings

Meeting bookings made through the website are requests, not a contract for services. We confirm each booking by email, phone or WhatsApp. We may reschedule or cancel a meeting due to unavailability or unavoidable circumstances and will inform you as soon as possible.

4. Client responsibilities

You agree to:

  • Provide accurate, complete and up-to-date information and documents needed for our services.
  • Provide your information and records within the timeframes agreed, so we can meet deadlines (including tax filing deadlines).
  • Approve proposals and clarify any changes in your business that affect the work.
  • Notify us promptly of any errors you find in our reports.

We rely on the information you provide. We are not responsible for delays, errors or tax penalties caused by late, incomplete or inaccurate information from you.

5. Fees and payment

Fees are stated in the proposal or quotation for each engagement. Invoices are payable within the period stated on the invoice. Unless stated otherwise, quotations do not include government fees, third-party costs (such as auditor or legal fees) or taxes. We may suspend work if payment is overdue.

6. Confidentiality

We keep all confidential information we receive from you confidential, subject to: (a) disclosures required by law or regulators; (b) disclosures to our professional advisors and service providers bound by confidentiality; and (c) information already in the public domain. This obligation continues after the engagement ends.

7. Intellectual property

Our proposals, reports, methodologies, templates, training materials and this website remain our intellectual property (or that of our licensors). We grant you a non-exclusive licence to use deliverables for your internal business purposes only. You must not resell or redistribute them without our written consent.

8. Professional standards

We perform our services with reasonable skill and care, in accordance with Omani law and applicable accounting and audit standards. Our services are accounting and financial services and are not legal advice. Where legal opinions are needed, we will refer you to an appropriately qualified lawyer.

9. Communication and WhatsApp

By providing your phone number and contacting us through WhatsApp, you consent to receiving transactional and (where you agree) promotional messages from us. You may opt out at any time by replying "STOP" (أو «إيقاف»), by emailing info@fils.om, or by blocking our number in WhatsApp. See our Privacy Policy for full details.

10. Limitation of liability

To the maximum extent permitted by Omani law, our total liability arising out of or in connection with our services or this website is limited to the fees you paid for the specific engagement giving rise to the claim. We are not liable for indirect or consequential losses, loss of profits, loss of data or loss of business opportunity, or for any loss caused by incorrect, incomplete or late information you provided.

11. Termination

Either party may terminate an engagement by written notice, subject to payment for work performed up to the date of termination and reimbursement of third-party costs already incurred. Outstanding fees remain due.

12. Applicable law

These Terms and any engagement are governed by the laws of the Sultanate of Oman. The courts of the Sultanate of Oman have exclusive jurisdiction over any dispute arising from them, unless we agree otherwise in writing.
